Senior Lawyer

We are looking for a highly skilled and experienced Legal Counsel/Senior Lawyer to join our team in Prague. The ideal candidate should have a strong background in general corporate agenda and must be proficient in drafting contracts. We prefer a candidate with extensive knowledge of labor law, data protection, and IT/IP. This role requires a proactive individual with excellent negotiation, drafting, and communication skills, capable of handling complex legal matters and providing strategic advice to the company.

Key Responsibilities:

• Corporate and M&A: Managing mergers and acquisitions; handling corporate events and changes; participating in joint venture establishments (including due diligence and group restructuring).
• IT/IP: Drafting contracts related to software development and implementation; managing trademark license agreements and trademark registrations; handling domain name disputes.
• Commercial Agreements: Reviewing and drafting various commercial agreements.
• Business Support: Supporting our businesses in Europe (UK, Switzerland, Germany) with reviews of agreements and corporate matters.
• Labor Law: Drafting internal regulations, employment contracts and termination agreements; handling wage deductions and employment of third-country citizens.

Requirements:

• Czech Bar Association membership and Bar Exam completion.
• Experience working in an international environment and supporting international businesses.
• Law Faculty degree, Diploma of European Union Studies or equivalent.
• Minimum of 7+ years of experience in corporate law, M&A, labor law, data protection, and IT/IP.
• Strong negotiation, drafting, and communication skills.
• Proficiency in MS Office (Word, Excel, PowerPoint).
• Fluency in English and Czech, knowledge of German is preferred.

Preferred Qualifications:

• Experience with corporate due diligence, transactions, capitalization of receivables, and share purchase agreements.
• Experience with security documents (subordination agreements, pledge agreements, mortgage agreements, bank guarantees, etc.).
• Experience with public tenders and ADR projects.
• Experience as an Attorney.
