We are looking for a highly skilled and experienced Legal Counsel/Senior Lawyer to join our team in Prague. The ideal candidate should have a strong background in general corporate agenda and must be proficient in drafting contracts. We prefer a candidate with extensive knowledge of labor law, data protection, and IT/IP. This role requires a proactive individual with excellent negotiation, drafting, and communication skills, capable of handling complex legal matters and providing strategic advice to the company.
Key Responsibilities:
- Corporate and M&A: Managing mergers and acquisitions; handling corporate events and changes; participating in joint venture establishments (including due diligence and group restructuring).
- IT/IP: Drafting contracts related to software development and implementation; managing trademark license agreements and trademark registrations; handling domain name disputes.
- Commercial Agreements: Reviewing and drafting various commercial agreements.
- Business Support: Supporting our businesses in Europe (UK, Switzerland, Germany) with reviews of agreements and corporate matters.
- Labor Law: Drafting internal regulations, employment contracts and termination agreements; handling wage deductions and employment of third-country citizens.

Requirements:
- Czech Bar Association membership and Bar Exam completion.
- Experience working in an international environment and supporting international businesses.
- Law Faculty degree, Diploma of European Union Studies or equivalent.
- Minimum of 7+ years of experience in corporate law, M&A, labor law, data protection, and IT/IP.
- Strong negotiation, drafting, and communication skills.
- Proficiency in MS Office (Word, Excel, PowerPoint).
- Fluency in English and Czech, knowledge of German is preferred.
Preferred Qualifications:
- Experience with corporate due diligence, transactions, capitalization of receivables, and share purchase agreements.
- Experience with security documents (subordination agreements, pledge agreements, mortgage agreements, bank guarantees, etc.).
- Experience with public tenders and ADR projects.
- Experience as an Attorney.
